1. About us
This website is operated by Deli Supplies Limited, trading as Catering Spares Online. The terms “we”, “us” and “our” refer to Deli Supplies Limited.
Our online store is hosted by Shopify, which provides the ecommerce platform through which we offer our products and services.
These Terms and Conditions apply to your use of this website and to orders placed with us. Our Privacy Policy, Shipping Policy and Return and Refund Policy also form part of these terms.
2. Business-to-business sales
This website is intended exclusively for customers purchasing goods wholly or mainly for business purposes.
By placing an order, you confirm that:
- You are acting in the course of a business and not as a consumer
- You have authority to place the order on behalf of that business
- The information you provide is accurate and complete
Nothing in these terms excludes or limits any rights or liabilities that cannot lawfully be excluded or limited.
3. Website use and customer accounts
You may use this website only for lawful business purposes.
You are responsible for keeping your customer-account login details secure and for all activity carried out through your account. You must notify us promptly if you believe that your account has been accessed without authorisation.
You must not:
- Use the website unlawfully or fraudulently
- Upload malicious software or interfere with the operation or security of the website
- Attempt to gain unauthorised access to the website, customer accounts or connected systems
- Copy, scrape or extract website content or product data for commercial use without our written permission
- Use automated tools in a way that disrupts, overloads or circumvents restrictions applied to the website
We may suspend or close an account where we reasonably believe these terms have been breached.
4. Product information
We take reasonable care to ensure that product descriptions, photographs, prices, part numbers and compatibility information are accurate. However, errors or omissions may occasionally occur.
Photographs are for identification and illustration purposes. Product appearance, packaging, labelling or minor construction details may vary where the manufacturer has revised the product without changing its intended function or compatibility.
Customers are responsible for checking the required part number, appliance model, serial number and compatibility before ordering unless we have expressly confirmed compatibility in writing.
References to equipment manufacturers, trademarks and model numbers are used for identification and compatibility purposes. Unless expressly stated, this does not mean that a product is manufactured or endorsed by the relevant equipment manufacturer.
5. Technical information and installation
Commercial catering equipment spare parts must be selected and installed by a suitably competent person.
Gas, electrical and other safety-critical work must be carried out by a person holding any qualifications, registrations or approvals required by law.
We are not responsible for loss or damage caused by:
- Incorrect part selection
- Incorrect installation or commissioning
- Use by an unqualified or unsuitable person
- Misuse, alteration or failure to follow manufacturer instructions
- Continued operation of defective or unsafe equipment
Diagrams, manuals, exploded views and technical information are supplied for reference only and do not replace appropriate training, manufacturer instructions or professional judgement.
6. Placing an order
Placing an order constitutes an offer to purchase goods from us.
An automated order acknowledgement confirms only that we have received your order. A contract is formed when we accept the order by confirming dispatch, making the goods available for collection or otherwise expressly confirming acceptance.
We may decline or cancel an order before acceptance where, for example:
- The product is unavailable
- The price or product information contains an error
- Payment cannot be authorised
- We cannot deliver to the supplied address
- We reasonably suspect fraud or misuse
- The order does not meet supplier or manufacturer restrictions
If payment has already been taken for an order that we do not accept, we will arrange a refund.
7. Special-order and supplier-direct goods
Some goods are specially ordered, obtained specifically for the customer or dispatched directly by a manufacturer or supplier.
Availability and lead times for these products are estimates until confirmed by the relevant supplier.
Once we have committed to a special order, cancellation or return may not be possible except where the goods are faulty, incorrectly supplied or we agree otherwise in writing.
8. Prices and VAT
Prices may be changed at any time before an order is accepted.
The price payable is the price shown at checkout, subject to correction of any obvious pricing or system error.
Prices will be displayed as inclusive or exclusive of VAT as stated on the website. Any applicable delivery charges will be shown before the order is submitted.
9. Payment
Payment is required using one of the methods offered at checkout unless we have agreed credit-account terms in writing.
You confirm that you are authorised to use the selected payment method.
We may delay processing or dispatch until payment has cleared and any necessary verification has been completed.
10. Credit accounts and late payment
Where we agree to supply goods on credit, payment must be made by the due date shown on the invoice.
If a business invoice is overdue, we may claim statutory interest, fixed compensation and reasonable recovery costs where permitted under the Late Payment of Commercial Debts legislation.
We may suspend further deliveries, withdraw credit facilities or require payment in advance while any amount remains overdue.
11. Ownership of goods
Ownership of goods does not pass to the customer until we have received full cleared payment for those goods and any other sums due to us.
Until ownership passes, the customer must:
- Keep the goods identifiable as our property
- Store them safely and separately where reasonably possible
- Not dispose of, alter or charge them except in the ordinary course of business
Risk of loss or damage passes in accordance with the delivery provisions below.
12. Delivery
Delivery charges, available services and estimated times are set out in our Shipping Policy and at checkout.
Delivery dates and times are estimates unless we expressly agree otherwise in writing.
We are not responsible for delays caused by events outside our reasonable control, including supplier delays, carrier disruption, severe weather, industrial action, customs processes or shortages.
Risk in the goods passes to the customer when the goods are delivered to the delivery address, collected by the customer, or delivered to a carrier arranged independently by the customer.
The customer must ensure that the delivery address and access information are correct and that someone is available to accept delivery where required.
13. Inspection, shortages and transit damage
You must inspect the goods promptly after delivery.
Please notify us as soon as reasonably possible of:
- Visible transit damage
- Missing items
- Incorrect goods
- Any other apparent discrepancy
You should retain the goods and all packaging while we investigate the matter.
Nothing in this section prevents a valid claim for a fault that could not reasonably have been identified during initial inspection.
14. Returns and refunds
Returns, cancellations, refunds and restocking charges are governed by our Return and Refund Policy.
Approved non-faulty business returns are normally subject to a 25% restocking charge.
You must obtain return authorisation before returning goods. Submitting a return request through your customer account or by email does not mean that the return has been approved.
15. Product faults and warranties
Where goods are supplied with a manufacturer’s warranty, the warranty is subject to the manufacturer’s terms, exclusions and claims procedure.
We may require evidence of the fault, installation details, equipment information and return of the product for inspection.
A warranty does not normally cover:
- Incorrect installation or commissioning
- Incorrect part selection
- Misuse, neglect or accidental damage
- Unauthorised alteration or repair
- Normal wear and tear
- Damage caused by scale, grease, contamination, unsuitable supply conditions or inadequate maintenance
No return, replacement or refund will be issued merely because a product has been fitted and did not resolve an equipment fault where the product itself is not defective.
16. Digital content and downloads
Digital products, including diagrams and technical downloads, are licensed for the customer’s internal business use only.
You must not reproduce, publish, resell, distribute or make digital content publicly available unless expressly authorised in writing.
Access may be withdrawn where the content is misused or the customer breaches these terms.
17. Intellectual property
The website and its content, including text, design, graphics, logos, photographs and original compilations, are owned by or licensed to Deli Supplies Limited and are protected by applicable intellectual-property laws.
You may use website content only for evaluating and purchasing products or for legitimate internal business purposes connected with products purchased from us.
Manufacturer trademarks, diagrams and technical materials remain the property of their respective owners.
18. Third-party services and links
The website may contain links to third-party websites or use services provided by third parties.
We are not responsible for the content, availability, security or privacy practices of third-party websites. Your use of a third-party service may be subject to that provider’s own terms.
19. Shopify
Our store is powered by Shopify. However, sales made through this store are made directly between the customer and Deli Supplies Limited.
Shopify is not the seller of the products and is not responsible for product selection, fulfilment, delivery, returns, warranties or other aspects of the sale between us and the customer.
20. Liability
Nothing in these terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Breach of our obligation to have the right to sell the goods
- Any other liability that cannot lawfully be excluded or limited
Subject to the paragraph above, we are not liable for:
- Loss of profit, revenue, business, contracts, anticipated savings or goodwill
- Loss or corruption of data
- Business interruption or loss of production
- Indirect or consequential loss
- Costs arising from equipment downtime, engineer attendance or repeat visits
- Loss resulting from incorrect part selection or installation
Subject to the exclusions above, our total liability arising from an order will not exceed the amount paid for the product giving rise to the claim.
Any limitation or exclusion in these terms applies only to the extent permitted by law and subject to any applicable requirement of reasonableness.
21. Events outside our control
We are not responsible for failure or delay caused by circumstances beyond our reasonable control.
These may include natural disasters, fire, flood, epidemic, industrial disputes, transport disruption, utility or communications failures, cyber incidents, government action, supplier failure or shortages of materials.
22. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
23. Changes to these terms
We may update these Terms and Conditions from time to time.
The terms applying to an order are normally those published when the order is placed, unless a change is required by law or agreed with the customer.
24. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
25. Waiver
A delay or failure by us to exercise a right does not waive that right.
26. Third-party rights
Unless expressly stated otherwise, no person other than the customer and Deli Supplies Limited has any right to enforce these terms.
27. Governing law and jurisdiction
These terms and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction, unless we agree otherwise in writing.
